1. Eligibility

You must be at least 13 years old to use the Platform. If you are under 18 years old, you represent that you have parental or guardian consent.

2. Nature of the Platform

Collbine is a digital loyalty and promotional technology platform that enables participating merchants to create digital stamp cards, launch Scan-to-Win promotional campaigns, configure reward structures, and set redemption conditions.

Collbine does not sell goods or services, issue physical rewards, control merchant inventory, or guarantee reward availability. Merchants independently determine reward types, redemption requirements, expiry dates, stock limitations, winning probabilities, and promotional terms. Collbine acts solely as a technology intermediary.

3. User Account

3.1 Registration

Users must register using a valid phone number. Additional optional information may include email address, date of birth, and gender. You agree that all information provided is accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Collbine is not liable for unauthorized access resulting from your failure to secure your account.

4. Digital Stamp Cards

Merchants may change reward rules, redemption requirements, expiry dates, winning probabilities, or campaign mechanics at any time, with or without notice.

Digital stamps are issued solely by merchants. Stamp requirements and expiry dates are determined by merchants. Stamps have no monetary value. Merchants may modify, suspend, or discontinue loyalty programs at any time without notice.

If a merchant closes down, withdraws from the Platform, or refuses to honour rewards, all related stamps and rewards may become immediately invalid. Collbine bears no responsibility for such loss.

5. Scan-to-Win Promotions

Merchants may change reward rules, redemption requirements, expiry dates, winning probabilities, or campaign mechanics at any time, with or without notice.

Scan-to-Win campaigns are created and managed entirely by merchants. They are subject to merchant-defined reward probabilities, limited by merchant-set quantities, and potentially subject to expiry dates. Merchants may modify or terminate campaigns at any time without prior notice.

Winning a reward does not guarantee availability if merchant stock is depleted. Collbine does not guarantee winning outcomes or reward fulfilment.

6. Reward Redemption

All rewards are provided solely by merchants and are subject to merchant-specific terms. They may expire and may be modified or withdrawn without notice. Collbine is not responsible for product quality, service disputes, merchant non-performance, or reward unavailability. Users must resolve disputes directly with the merchant.

7. Acceptable Use

You agree not to create multiple or fraudulent accounts, manipulate QR scanning mechanisms, attempt to exploit system vulnerabilities, share merchant QR codes publicly, or abuse promotional systems. Users may screenshot rewards for personal reference only. Merchant QR codes must not be distributed or misused. Collbine reserves the right to suspend or permanently ban accounts without prior notice.

Collbine reserves the right to revoke, invalidate, or cancel any stamps or rewards obtained through suspected fraudulent, abusive, or unauthorized activity.

8. Account Suspension & Deletion

Collbine may suspend or terminate accounts at its sole discretion for violations of these Terms. If you delete your account, all stamps are permanently deleted, all rewards are forfeited, and no recovery is possible. Account deletion is irreversible.

9. Data Collection & Privacy

We may collect phone number, email address, date of birth, gender, device information, location data, scan history, and redemption history. This data may be used for platform operation, fraud prevention, reward validation, notification delivery, promotional communication, and service improvement. Please refer to our Privacy Policy for full details regarding data handling.

10. Push Notifications

By using the Platform, you consent to receive push notifications, including but not limited to reward confirmations, redemption updates, promotional announcements, and platform updates. You may disable notifications in your device settings.

11. Intellectual Property

All content, trademarks, software, branding, and designs within the Platform are the property of COLLBINE PTE. LTD. Unauthorized reproduction or commercial use is prohibited.

12. Disclaimer

The Platform is provided on an "as-is" and "as-available" basis. Collbine does not guarantee that the Platform will be available at all times or that access will be uninterrupted, secure, or free from errors, viruses, or harmful components. Collbine does not warrant uninterrupted service, error-free operation, continuous merchant participation, or reward availability. To the fullest extent permitted by law, Collbine disclaims liability for merchant actions or omissions, loss of rewards or stamps, platform downtime, technical failures, and indirect or consequential damages.

13. Limitation of Liability

To the maximum extent permitted under Singapore law, Collbine's total liability to you (whether in contract, tort including negligence, or otherwise) shall not exceed SGD $100 in aggregate for all claims arising out of or in connection with these Terms or your use of the Platform in any twelve-month period.

In no event shall Collbine be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages. The foregoing limitations apply to the fullest extent permitted by applicable law.

14. Amendments

Collbine may amend these Terms at any time. Revised Terms take effect upon publication on the Platform, unless otherwise stated. Continued use of the Platform after the update constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of Singapore. Any dispute shall be subject to the exclusive jurisdiction of the Singapore courts.

16. Indemnification

You agree to indemnify, defend, and hold harmless COLLBINE PTE. LTD., its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your access to or use of the Platform, your violation of these Terms or any applicable law, your violation of any third-party right (including intellectual property or privacy), any content or data you submit or transmit through the Platform, any dispute between you and a merchant or another user, or any fraudulent, abusive, or illegal activity by you. This indemnity survives termination of your account and these Terms.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

18. No Waiver

Collbine's failure or delay in exercising any right or remedy under these Terms shall not operate as a waiver of such right or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof. A waiver of any breach shall not constitute a waiver of any subsequent breach.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or guidelines published by Collbine on the Platform, constitute the entire agreement between you and Collbine regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral. You acknowledge that you have not relied on any representation or warranty other than those expressly set out in these Terms.

20. Force Majeure

Collbine shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government actions or restrictions, embargoes, strikes, labour disputes, power or telecommunications failures, cyber attacks, third-party service outages, or any other cause beyond Collbine's reasonable control. During such events, Collbine's obligations may be suspended for the duration of the force majeure event.

21. No Agency or Partnership

Nothing in these Terms shall create or be deemed to create a partnership, joint venture, agency, or employment relationship between you and Collbine. You have no authority to bind Collbine in any way. The relationship between Collbine and participating merchants is separate and independent; Collbine does not act as agent for any merchant, and no merchant acts as agent for Collbine. You transact with merchants at your own risk.

22. Assignment

Collbine may assign, transfer, or novate its rights and obligations under these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets, without your consent. You may not assign or transfer any of your rights or obligations under these Terms without Collbine's prior written consent. Any purported assignment in violation of this section shall be void.

23. Third-Party Rights

These Terms do not confer any rights on any person or entity other than you and Collbine. No third party (including any merchant or other user) may enforce any term of these Terms under the Contracts (Rights of Third Parties) Act (Cap. 53B) of Singapore or otherwise.
